TERMS & CONDITIONS – BASIC TERMS

The Terms and Conditions take effect from 15th March 2004 and replace all Terms and Conditions and documentation whatsoever previously published by CONTACT relating to the supply of Temporary and Permanent Staff.

All and any business undertaken by CONTACT (hereinafter called “The Agency) is transacted subject to the conditions hereinafter set out, each of which shall be incorporated in any agreement between the Agency and its clients.

No variation of these Terms is valid or shall be binding to the Agency unless confirmed in writing by a Director of the Agency.

The interview by the client of any applicant introduced by the Agency shall be deemed acceptance of and agreement to these conditions of business by the client.

All PERMANENT accounts and charges payable by the Client within 14 days and all TEMPORARY accounts and charges within 7 days of the date of the invoice issued by the Agency.  Payment should be made to “CONTACT” 103 WASHWAY ROAD, SALE, CHESHIRE.  M33 7TY”.

PERM DETAILS

1.                    Permanent Staff are persons engaged for employment by persons other than this Agency and paid by that person.  Such persons to include an individual, firm or corporation of any associated individual firm or corporation.

2.                    Temporary Staff are employees of this Agency hired out to its Clients and paid by the Agency Such Staff to be supplied on a temporary basis charged to the Agency’s Clients at an hourly rate.  They remain the employees of the Agency with who they have a contract of service.

3.                    The Client is referred to the Terms and Conditions for introducing temporary Staff which form part of the Terms and Conditions.  The Client’s attention is specifically drawn to the procedure to be adopted if the temporary employee proves to be unsatisfactory.  Temporary Staff remains the employees of the Agency.

4.                    Any Client of the Agency who employs as permanent Staff an applicant introduced by the Agency or accept the services of the Agency temporary Staff remain the employees of the Agency.

5.                    If the Client employs any person introduced by this Agency then the Client will immediately notify the Agency and pay to the Agency a fee in accordance with Paragraph 7.  Such fees shall be subject to VAT.

6.                    The fee is immediately payable whatever any person is engaged by a Client as a permanent member of Staff as a result of an introduction from this Agency, even though the employment may occur indirectly, anytime up to and including 1 year of a person working temporary.

7.   

(a) A sum equal to 13% of an Annual Salary up to £7,999.00.
(b) A sum equal to 16% of an Annual Salary between £ 8,000.00 and £14,999.00.
(c) A sum equal to 18% of an Annual Salary between £15,000.00 and £19,999.00.
(d) A sum equal to 20% of an Annual Salary between £20,000.00 and £24,999.00.
(e) A sum equal to 25% of an Annual Salary of £25,000.00 upwards
(f) A minimum fee for self-employed or commission only placements will be £1,500.00.  There is no rebate of self-employed or commission only placements.

8.             The Agency does not warrant the applicants suitability and the Client must satisfy itself as to the suitability of any applicant and as to any reference taken up by the Client.

9.                    Should the applicant having taken up employment subsequently leave or is dismissed with the 8 week period of the date of commencement the Agency undertakes to replace the applicant free of charge. If the Agency is not able to do so within four weeks of the original applicant leaving his or her employment it will be credited to the Client as follows:-

1st week  =  70%  refund
2nd week  =  60%  refund
3rd week  =  50%  refund
4th week  =  40%  refund
5th week  =  30%  refund
6th week  =  20%  refund
7th week  =  10%  refund
8th week  =  No refund

Our Guarantee Period only applies providing that our Account has been paid in full within 21 days of the date of the invoice.

10.                 Any applicant for a replacement or credit must be made in writing within 7 days of the date of the applicant leaving the Client employment or no credit will be allowed.  The Agency also reserves the right to refuse credit if it is not given for the opportunity to replace the person.

11.                 If a replacement is necessary the Guarantee Period is continued from the original date of the first placement and does not start again.

12.                 Should an agreed fee be applicable then the Guarantee Period will be reduced pro-rata.

TERMS AND CONDITIONS FOR INTRODUCTION OF TEMPORARY STAFF

1.                    The Terms and Conditions are valid for a period of six months from the date of the letter and should be re-negotiated at the end of that period unless any changes in legislation dictate an earlier amendment.

2.                    Contact expect that the Client will be fully aware of all current laws relating to discrimination, Victimisation of harassment due to race, colour, nationality, sex, marriage, disability or working time and that is has given the appropriate training to all members of its own Staff that may be involved in the selection, supervision and control of the temporary worker supplied by Contact.

3.                    The Client shall indemnify Contact against any and all claims, demand, facilities, damages, costs and expenses incurred in action taken against Contact in respect of discrimination, unfair dismissal or other legal matters arising from any action and/or commend made or taken by any member of Staff employed by the Client.

4.                    A specific rate for your requirements will be quoted to you when placing the vacancy with the Agency.

5.                    The Agency offers a 2 hour Guarantee Period for temporary workers.  The Company will not be charged for these 2 hours providing that the Client undertakes to inform the Agency that the temporary worker is unsuitable.  Clients failing to do so will be charged for the full hours worked to the rate specified.  If there is any problems contact us immediately.

6.                    The agency temporary employees are required to produce a signed time sheet at the end of each working week.  It is the Clients responsibility to check and verify the total number of hours claimed before signing, as the time sheet forms the basis of the invoice.

7.                    Invoices are submitted on a weekly basis.  They are due and payable within 7 days of the invoice date. The remuneration’s due to the temporary employee include National Insurance and Graduated Pension which will be met by the Agency.

8.                    Should you decide to offer permanent employment to an Agency employee, a 2% deduction will be made on our normal permanent fee If any person has been employed on a temporary basis for over 4 weeks.

9.                    The Agency temporary personnel are employees of the Agency.

10.                    The Agency are fully covered by Employers Liability Insurance.

11.                    The employment of Agency personnel will be deemed an acceptance of these Terms and Conditions.

12.                    Whilst every effort is made by the Employment Business to give satisfaction to the Client by ensuring standards of skills, integrity and reliability from the Temporary Worker and to provide them in accordance

with the booking details provided by the Company, no liability is accepted by the Agency for any loss, expense, damage or delay arising from the failure to provide a Temporary Worker for all or part of the period of the Client’s booking or from the negligence, dishonesty, misconduct or lack of skill of the Temporary Worker or if the Temporary Worker terminates the assignment for any reason.

13.                    Temporary staff provided by the Agency to the client are provided under contracts for services and are deemed to be under the supervision, direction and control of the client for the duration of the assignment.  The Client is responsible for all acts, errors and omissions of the Temporary Worker whether wilful, negligent or otherwise as though the Temporary Worker were any employee of the Client, and the Client will comply in all respects with all statues, by-laws and legal requirements to which the client is ordinarily subject in respect of its own employees and staff, including in particular the provision of adequate Employer’s and Public Liability Insurance cover for the Temporary Worker during assignments, but excluding the matters of Remuneration and Deductions.  The Client shall indemnify the Employment Business against any costs, claims, damages and expenses incurred by the Employment Business arising out of the engagement or use of the Temporary Worker by the Client.

14.                    All rates are Inclusive of the uplift in respect of Holiday pay which must now be accrued under the new Working Time Regulations.  This uplift equates to 9.4% of the Temps pay.

15.                    In the event that you wish to transfer a Temporary Worker from our payroll or that of another Agency an introduction fee is payable.

                All rates above are dependant upon age and experience but will be quoted when the booking is placed with this Agency.  Rates for other types of personnel (e.g. Computerised Personnel with specific skill requirements) are available upon request.
